Terms of Service

Coteclat LLC provides AI-powered business software — CRM, invoicing, GIS mapping, media management and related tools — on a subscription basis. Your account gives your members access under the roles you assign. These terms, together with the registration terms you accepted when your account was created, are the agreement between us.

You own your data. Where your data includes personal information about other people, you are the controller and we are your processor: we process it only on your documented instructions, keep it confidential, apply appropriate security, use only the sub-processors named in our Privacy Policy, help you answer requests from the people concerned, tell you without undue delay if there is a breach, and delete or return it when the service ends. You are responsible for having the right to upload what you import.

No unlawful content, no attempts to breach account isolation or the FROST Identity layer, no resale of the service without an agreement.

We aim for continuous availability. The service is provided as-is and as-available, without warranties of any kind to the fullest extent the law allows. Planned maintenance is announced in advance whenever possible.

Usage is metered in MTOK, which are prepaid, closed-loop billing credits: not a cryptocurrency, not tradeable, not an investment. Subscription prices are shown per month and any minimum commitment is stated at checkout before you pay. Subscriptions renew for the same term unless you cancel before the renewal date, and you can cancel at any time from your account page or by writing to us. Purchased MTOK are non-refundable once consumed; if we close your account for any reason other than fraud, abuse, unlawful use, non-payment or breach of these terms, unused purchased MTOK are refunded.

You may close your account at any time. We may suspend or close an account for fraud, abuse, unlawful use, non-payment or breach of these terms, and we will tell you why. On closure your subscriptions are cancelled with no further charges.

To the fullest extent the law allows, neither party is liable for indirect, incidental or consequential loss, and our total liability for any claim is limited to the amount you paid us in the 12 months before the claim arose. Nothing here limits liability that cannot be limited by law.

These terms are governed by the laws of the State of California, and the state and federal courts located in California have exclusive jurisdiction, without regard to conflict-of-laws rules.

If we change these terms we update the date above and, for material changes, tell account holders by email before they take effect.
